Terms of Service
The terms for using specoria.com, app.specoria.com (the project panel), the free tools, the agent simulator and the Specoria APIs.
1. Parties and scope
These Terms of Service (the “Terms”) govern the relationship between Webtures Ltd (“Seller” or “Specoria”) · Address: 494a Fulham Road, London SW6 5NH, United Kingdom · Company no.: 11948574 (England and Wales) · VAT: [VAT number to be added] · Phone: [Phone number to be added] · Email: contact@specoria.com · Web: specoria.com and the person or business using Specoria services (the “Customer” or “you”).
By using the free tools, opening a panel account or buying a plan, you accept these Terms. If you accept on behalf of a company, you confirm that you are authorised to bind it. Paid plans are also governed by the pre-contract information, the Terms of Sale and the Cancellation and Refunds terms; where we process personal data on your behalf, the Data Processing Addendum forms part of these Terms. If an Enterprise customer has signed a separate agreement, that agreement prevails in case of conflict.
The service is aimed mainly at businesses. If you buy as a consumer, your rights under mandatory consumer law (including that of your country of residence where it applies) are unaffected; nothing in these Terms is to be read as limiting them.
2. Definitions
- Service: Specoria’s software service that measures how ready stores and sites are for AI shopping agents, turns findings into tasks and fix code and re-measures fixes, together with the free test, the agent simulator, reports, the panel and the APIs.
- Project: a workspace in the panel for one store or site.
- Customer Data: data that you or your team upload, send or connect to the Service (server logs, Google data, store and marketplace data, documents, messages).
- Outputs: the scores, reports, tasks, fix code and suggestions the Service produces for your project.
3. Account and team
- Give accurate, current details when you open an account and keep your password and access keys secret. You are responsible for activity in your account; tell us at once if you notice unauthorised use.
- You must be at least 18 and have legal capacity to open an account.
- You are responsible for the team members you invite complying with these Terms; you manage their roles and access in the panel.
- API keys are personal to you and the project; don’t share them or put them in source code. Revoke a key in the panel if you think it has leaked.
4. What the Service does and its limits
- Specoria measures your store’s public pages; results are computed by published, versioned rules. A criterion we can’t verify never counts as passed.
- How AI agents, search and answer engines behave is controlled by third parties and may change. Specoria does not guarantee that agents will choose your store, any ranking, or an increase in traffic or sales.
- Fix code and suggestions are written for your platform; review and test them in your own environment before you publish them.
- We keep developing the Service and features may change. We won’t reduce the core scope of your paid plan to your detriment during a paid period. Features marked “experimental” are provided as they are and may be withdrawn.
- The Service may sometimes be unavailable because of planned maintenance or outages of third-party infrastructure. Service level targets for Enterprise customers are on the Service level page and in the signed agreement.
5. Only sites you are authorised to test
- Use deep audits, agent simulations, server log analysis and store connections only for sites and stores you own or are authorised by their owner to test.
- The competitor comparison in your plan reads only the public pages of competitor sites, in small numbers, slowly and as any public visitor would see them; it never signs in, fills in forms or places orders. You may not use it for unfair competition, scraping or in a way that infringes others’ rights.
- The free test and the simulator work with limited requests that identify themselves; site owners can stop their sites from being tested as described on our crawler page. If we notice unauthorised use, we stop the project concerned and may close the account.
6. Simulator and real-browser rules
- The agent simulator and the deep audit browse public pages with a real browser, like a customer, and stop at checkout or at a form.
- The simulator never places orders, never pays, never types personal or card details and never submits forms; on hotel and service sites it never submits booking or enquiry forms.
- Don’t put personal data, passwords or other people’s details in a simulation task; the task text is sent to AI models.
7. Connections and writing to your store
- You set up Google, Shopify, WooCommerce, Trendyol, Hepsiburada, Slack or Microsoft Teams connections yourself, if you want them; a connection works with your account’s permissions at that service, whose own terms also apply. You can remove a connection in the panel at any time.
- We write to your store only the changes you approve one by one in the panel; Specoria never publishes, changes or deletes anything in your store without your approval. Every applied change is logged and can be undone in one click.
- You are responsible for checking the result of the changes you approve in your store. We recommend a backup before significant changes.
8. Acceptable use
You may not use the Service to:
- do anything unlawful or misleading, or that infringes the rights of others (intellectual property, personality rights, trade secrets).
- get around the Service’s security or limits (quotas, rates, free use), access other users’ data, or upload malicious code.
- copy the Service by reverse engineering, automated bulk querying or scraping, or systematically collect Specoria’s methods, rules or outputs to build a competing product (open data and documents we publish can be used under their own licences).
- put load on other people’s sites, attempt denial of service, or send unsolicited messages (spam).
- upload special categories of personal data, or other personal data beyond what is needed.
9. Customer Data and personal data
- Customer Data belongs to you. You allow us to process it to provide and secure the Service and to produce the Outputs you ask for; we don’t use it for anything else.
- We don’t use Customer Data or your site’s content to train AI models, we don’t sell it and we don’t hand it to anyone for training.
- Where we process personal data on your behalf (for example server logs), you are the controller and Specoria is the processor, and the Data Processing Addendum applies. You are responsible for having a legal basis to send us that data and for informing your visitors.
- The personal data we process for our own purposes is described in our privacy notice.
- When your account closes, we delete Customer Data within the periods in the privacy notice, except records we must keep by law. You can download your reports from the panel before closing.
10. Intellectual property
- Specoria’s software, measurement rules, score model, report designs, brand and content belong to Specoria or its licensors. These Terms give you a limited, non-transferable, non-exclusive right to use the Service for its purpose during your subscription.
- You may use the Outputs (reports, fix code) for your own sites and business without time limit and share them with your team and the agencies you work with. You may not resell the Outputs as a Specoria product.
- We may use feedback and suggestions you send us to improve the Service, without any obligation to you.
- We may publish aggregated measurement statistics (such as sector averages) that don’t identify you and can’t be tied to a single customer.
11. Fees
The free plan and the free tools cost nothing. Prices, renewal, cancellation and refunds for paid plans are set out in the Terms of Sale and the Cancellation and Refunds terms. Payment is taken by card through Stripe only; card details never reach Specoria. Invoices are issued separately from the payment and sent by email.
12. Confidentiality
Each party uses the business information it learns during the relationship that is marked confidential or is confidential by nature (such as quotes, unreleased product information and access keys) only for this relationship and does not disclose it to third parties. Information that is public, obtained independently or that must be disclosed by law is excluded. This obligation lasts for 3 years after the relationship ends.
13. Warranty
We provide the Service with reasonable skill and care. To the extent the law allows, the Service is provided “as is” and “as available”; we don’t guarantee that it will be uninterrupted or error-free or that it will produce a particular business result. Consumers’ statutory rights for services that are not as agreed are unaffected.
14. Limitation of liability
- Except for intent, gross negligence, death or personal injury and cases where mandatory law does not allow liability to be limited, Specoria’s total liability under these Terms and the sales documents is limited to the total amount the Customer paid Specoria in the 12 months before the event that caused the damage.
- Specoria is not liable for indirect losses such as loss of profit, revenue, data or goodwill, or for losses caused by outages or decisions of third-party services (AI models, search engines, marketplaces, payment providers, hosting).
- This section does not limit consumers’ statutory rights.
15. Customer responsibility
A business Customer covers the reasonable losses and costs (including legal fees) arising from third-party claims against Specoria caused by testing sites it was not authorised to test, by use contrary to these Terms, or by uploading data unlawfully. Specoria notifies such a claim without delay and reasonably cooperates in the defence.
16. Suspension and termination
- You can close your account at any time and cancel your subscription in one click in the panel; what happens on cancellation is set out in the sales documents.
- If these Terms are materially breached, in case of a security threat, unauthorised site testing or unpaid fees, we may suspend the Service, with notice first and without notice in an emergency. If a breach is not remedied within a reasonable time, we may terminate.
- If we discontinue the Service entirely, we will give at least 30 days’ notice and refund the paid, unused part of your period.
- The provisions on intellectual property, confidentiality, liability and disputes survive termination.
17. Changes
We may update these Terms when the service or the law changes. We email panel users about material changes at least 30 days before they take effect; if you don’t accept a change, you can cancel your subscription within that time. For a paid subscription, the version you accepted applies until the end of that period. Each version is published on this page with its date and version number.
18. Force majeure
Obligations affected by events beyond a party’s reasonable control (such as natural disasters, epidemics, war, widespread infrastructure or internet outages, or decisions of public authorities) are suspended while the event lasts. If it lasts more than 60 days, either party may terminate.
19. Notices
We send notices to the email address on your account or through the panel. You can send notices to us at contact@specoria.com or to the postal and registered email (KEP) addresses in the seller details.
20. Governing law and disputes
These Terms are governed by the laws of the Republic of Türkiye. Disputes between businesses are subject to the courts and enforcement offices of Istanbul (Caglayan). If you are a consumer, you keep the protection of the mandatory consumer law of your country of residence and may bring a claim in the courts there; consumers in Türkiye may also apply to consumer arbitration committees or consumer courts.
21. General
- If a provision of these Terms is held invalid, the rest remain in force.
- Specoria not exercising a right does not mean it waives that right.
- Specoria may transfer its rights and obligations under these Terms with notice in a merger, acquisition or transfer of the business; the Customer may not transfer them without written consent.
- These Terms are published in Turkish and English. The Turkish text governs for customers in Türkiye and the English text for other customers.
- Specoria’s records (acceptance, transaction and delivery logs) are evidence until proven otherwise; this does not apply to consumers.
